1. Who you are contracting with

CONVERGE Research Intelligence ("CONVERGE", "the service") is provided by CONVERGE Research Intelligence ("we", "us"). By creating an account, subscribing, or otherwise using the service, you enter into an agreement with CONVERGE Research Intelligence and agree to these terms. If you are using CONVERGE on behalf of an institution, you confirm you have authority to bind that institution; if you are using it as an individual, you confirm you are of legal age.

2. The service

CONVERGE matches researchers to funding opportunities, provides fit analysis and deadline alerts, and offers research development and leadership reporting tools. Matches, fit labels, and AI-generated summaries are decision support only: they may be incomplete or inaccurate and must be verified against the sponsor's official announcement before you rely on them. CONVERGE does not provide legal, financial, or compliance advice.

3. Your account

You must provide accurate information and keep it current, keep your credentials confidential, and are responsible for activity under your account. Accounts are for a single named person and may not be shared.

4. Acceptable use

• No unlawful use, fraud, or spam.
• No infringement of intellectual property or privacy rights of others.
• No interference with security, including malware, probing, penetration testing without permission, or automated scraping of the service.
• No reverse engineering, resale, redistribution, or circumvention of plan limits.
• No uploading of content you do not have the right to provide, and no export of other researchers' data for purposes unrelated to your own research collaboration.

5. Licence and intellectual property

We grant you a limited, non-exclusive, non-transferable right to use the service within your selected plan. We retain all ownership of the service, its software, models, documentation, and branding. You retain ownership of content you upload and grant us a limited licence to host and process it solely to provide the service.

6. Payment, subscriptions, and taxes

Individual memberships are sold on a monthly or annual subscription following a 14-day free trial, and renew automatically until cancelled. Institutional subscriptions are governed by the applicable order or agreement. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms and our Refund Policy.

7. Service level

We work to keep CONVERGE available and accurate but do not guarantee uninterrupted or error-free performance. Features may change, and third-party data sources may be delayed or unavailable.

8. Warranties and liability

To the fullest extent permitted by law, the service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect, consequential, or special damages, including lost profits, lost funding, lost data, or loss of goodwill. Our aggregate liability is limited to the fees you paid in the 12 months before the claim. Nothing in these terms excludes liability for fraud, death, or personal injury where such exclusion is not permitted by law.

9. Indemnity

You will indemnify us against claims arising from content you upload, your unlawful use of the service, or your breach of these terms.

10. Suspension and termination

We may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may cancel at any time. On termination your access ends; you may request an export of your profile data within 30 days, after which data is deleted or anonymised in line with our Privacy Notice.

11. General

These terms are governed by the laws of the State of Florida, USA, and disputes are subject to the courts located there. You may not assign this agreement without our consent; we may assign it in connection with a merger, acquisition, or sale of assets.
